1. Acceptance of Terms & Service Agreement
By accessing, browsing, and using the SLAInsightAI website (slainsightai.com), web application (app.slainsightai.com), and related services, you accept and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you are prohibited from using or accessing this service. SLAInsightAI reserves the right to modify these terms at any time. You are responsible for reviewing these terms regularly for changes. Continued use of the service after modifications constitutes acceptance of the modified terms.
2. License Grant & Use Restrictions
SLAInsightAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use our services solely for your legitimate business purposes. You agree not to: (a) reverse engineer, decompile, or discover the source code of our platform; (b) remove or alter any proprietary notices or labels; (c) use our services for benchmarking or competitive analysis; (d) resell, lease, or transfer access without authorization; (e) use our services for unlawful purposes or to violate any applicable laws; (f) attempt to gain unauthorized access to restricted areas or databases; (g) use automated tools, bots, or scrapers to access or extract data; (h) interfere with or disrupt the operation of our services; (i) transmit viruses, malware, or harmful code; or (j) impersonate any person or entity.
3. User Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials, including usernames and passwords. You agree to accept responsibility for all activities that occur under your account. You must notify SLAInsightAI immediately of any unauthorized use of your account or any other breach of security. You agree to provide accurate, complete information during registration and to keep this information current. SLAInsightAI is not responsible for losses or damages resulting from unauthorized access due to user negligence or failure to protect credentials. Users must be at least 18 years of age (or the age of majority in their jurisdiction) to create an account and use our services.
4. Billing, Pricing & Payment Terms
Subscription Plans: SLAInsightAI offers multiple subscription tiers (Starter, Professional, Enterprise) with different features and pricing. Pricing is clearly displayed during signup.
Billing Cycle: Billing occurs monthly on the day your subscription begins, on an annual basis if you select annual payment, or as otherwise specified in your agreement. You authorize us to charge your payment method automatically.
Payment Methods: We accept credit cards and other payment methods as indicated at checkout. All payments must be made in USD unless otherwise agreed. You are responsible for providing accurate payment information and promptly updating it if it changes.
Free Trials: Free trial accounts do not require payment but may require a valid payment method for verification purposes. Trials automatically convert to paid subscriptions unless canceled before the trial period ends.
Pricing Changes: SLAInsightAI may modify pricing with 30 days' written notice. Existing subscriptions continue at current pricing until renewal. Upon renewal, you accept the new pricing or may cancel your subscription.
Refund Policy: Subscription fees are non-refundable except as required by law. We may offer refunds at our sole discretion for service failures.
5. Acceptable Use & Content Policies
You agree not to use SLAInsightAI for any illegal, harmful, abusive, or unethical purposes. Prohibited uses include transmitting content that is defamatory, threatening, harassing, abusive, or violates any person's rights; uploading viruses, malware, or harmful code; conducting denial-of-service attacks; hacking or attempting to gain unauthorized access; phishing or social engineering; spamming or sending unsolicited communications; or violating intellectual property rights. SLAInsightAI reserves the right to investigate and take appropriate legal action against anyone violating these prohibitions. Violations may result in immediate account suspension or termination.
6. Intellectual Property Rights
SLAInsightAI Content: All content, software, algorithms, databases, documentation, graphics, and materials provided by SLAInsightAI are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, reverse-engineer, or create derivative works from SLAInsightAI materials without prior written permission.
Your Data: You retain all rights to data you upload or input into SLAInsightAI (service metrics, logs, configurations). You grant SLAInsightAI a worldwide, non-exclusive license to use, process, and analyze your data for service delivery and improvement, including aggregated and anonymized analytics.
Feedback & Suggestions: Any feedback, suggestions, or ideas you provide to SLAInsightAI may be used without compensation or attribution.
7. Limitation of Liability & Disclaimers
Warranty Disclaimer: SLAInsightAI is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement.
Prediction Accuracy: While SLAInsightAI employs advanced machine learning for SLA breach prediction, we make no guarantee that predictions will be 100% accurate. Predictions should be used as one component of a comprehensive monitoring strategy, not as a sole decision-making tool.
Limitation of Damages: To the maximum extent permitted by law, SLAInsightAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, even if advised of the possibility of such damages.
Cap on Liability: Except for breaches of confidentiality or intellectual property infringement, SLAInsightAI's total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
8. Termination & Suspension
Termination by User: You may terminate your subscription at any time. Termination becomes effective at the end of your current billing cycle. No refunds are issued for early termination.
Termination by SLAInsightAI: SLAInsightAI may suspend or terminate your account immediately if: (a) you violate these Terms; (b) your account is used for illegal or harmful purposes; (c) payment is not received; or (d) for any reason with 30 days' written notice.
Data Upon Termination: Upon account termination, you have 30 days to download your data. After 30 days, all data associated with your account will be permanently deleted. SLAInsightAI is not obligated to retain or provide data after termination.
9. Indemnification & Third-Party Claims
You agree to indemnify, defend, and hold harmless SLAInsightAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of SLAInsightAI; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) infringement of any third-party rights resulting from your data or actions. SLAInsightAI will notify you of any claim and provide reasonable cooperation in its defense.
10. Compliance & Legal Notices
SLAInsightAI complies with applicable laws including GDPR, CCPA, SOC 2, and other data protection regulations. You agree to comply with all export control laws and regulations. You represent that you are not located in, nor are you a resident or citizen of, any country subject to U.S. embargo or sanctions. You agree not to export or transfer SLAInsightAI to prohibited countries or parties. Government users understand that SLAInsightAI software and documentation are "Commercial Items" as defined by applicable regulations.
11. Dispute Resolution & Governing Law
Governing Law: These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.
Jurisdiction: You agree that any legal action or proceeding shall be exclusively brought in the courts located in Toronto, Ontario, Canada, and you irrevocably submit to the jurisdiction of these courts.
Dispute Resolution: Before initiating litigation, you agree to attempt to resolve disputes through good-faith negotiation with SLAInsightAI. If negotiation fails, disputes will be resolved through binding arbitration under the rules of the Canadian Arbitration Association, unless prohibited by applicable law.
12. Modifications & Discontinuation of Services
SLAInsightAI reserves the right to modify, update, or discontinue any feature or service at any time with reasonable notice (typically 60 days for material changes). We will notify users of material changes via email or in-platform notification. Continued use after notification constitutes acceptance of modifications. SLAInsightAI is not liable for any loss or damage resulting from modifications or discontinuation.
13. Third-Party Links & Services
SLAInsightAI may contain links to third-party websites and services that are not operated by SLAInsightAI. We are not responsible for the content, accuracy, or practices of third-party websites. Your use of third-party services is governed by their terms and privacy policies. SLAInsightAI is not liable for any damages or losses resulting from your use of third-party services.
14. Entire Agreement & Severability
Entire Agreement: These Terms of Service, along with the Privacy Policy, Cookie Policy, and any Service Level Agreement (SLA), constitute the entire agreement between you and SLAInsightAI regarding use of our services and supersede all prior or contemporaneous agreements.
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or if not possible, that provision will be severed, and the remaining provisions will remain in full force and effect.
Waiver: The failure of SLAInsightAI to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
